Terms of service

Last updated: 12 October 2026

These terms explain how Studio OVXS works with you, and how you can use this website. We've written them to be read, not skimmed past. If anything is unclear, email us at contact@ovxsbusiness.solutions before you buy or sign anything.

1. Who we are

  1. Us. Studio OVXS is a trading name of OVXS Business Solutions, a private corporation registered in Wyoming, United States, at 1621 Central Ave, Cheyenne, WY 82001 ("Studio OVXS", "we", "us"). "You" means the person or business using our website or buying our services.
  2. Agreeing to these terms. By using this website, booking a video audit, paying an invoice or accepting a proposal, you agree to these terms. If you're acting for a business, you confirm you're allowed to agree on its behalf.
  3. Which document wins. Most projects come with a written proposal, quote or statement of work (a "Proposal"). If a Proposal and these terms disagree, the Proposal wins for that project. These terms win over anything said on our website, in marketing, in a chat or on a call. Prices, examples and descriptions on our website are a general guide, not an offer.
  4. We're independent. We're a Shopify Partner, but we're not part of Shopify and can't speak for Shopify or any other platform.

2. Using this website

  1. Information only. Articles, case studies, FAQs and pricing on this website are general information. They aren't legal, tax or financial advice. Case study results are specific to that client, their product and their market. They show what happened, not what will happen for you.
  2. Forms. When you use our contact, audit or newsletter forms, please give accurate details. We use what you send to reply to you and to run our business, as described in our Privacy policy.
  3. What you may not do. Don't misuse this website. That includes trying to break or overload it, getting around its security, sending spam or harmful code through its forms, or pretending to be someone else. You also may not copy, scrape or collect our content, designs, code or case studies, whether by hand or with bots, crawlers or AI tools, to republish them, build a competing service or train an AI model, without our written permission.
  4. Our content. The design, code, text, graphics, logos, videos and case studies on this website belong to us or to the clients and licensors who allowed us to use them. Client names, logos and screenshots belong to those clients. You're welcome to share links to our pages.
  5. Other websites. Links to other websites, including client stores, are for convenience. We don't control them and aren't responsible for them.

3. Our services

  1. What we do. We design, build, improve and look after websites and online stores, mainly on Shopify. We also offer brand and creative work, integrations, custom apps, migrations, marketing, data and AI services. What's included in your project is set out in your Proposal. Anything not listed there isn't included.
  2. How we work. We provide our services with reasonable skill and care, using people with the right experience. We may use trusted subcontractors, and we stay responsible for their work.
  3. We can say no. We can turn down any project or audit. That includes work we believe is unlawful, misleading or harmful, or that breaches a platform's rules.

4. The $99 site video audit

  1. What it is. A recorded walkthrough, usually 10–15 minutes long, of the publicly visible pages of your website or store, seen as a first-time visitor sees them. It ends with the changes we'd prioritise. We don't log in to your store, ad accounts, analytics or any other system, and we'll never ask for your passwords.
  2. Fee. The audit costs US$99, plus any applicable tax, and is paid in full at checkout when you book.
  3. Fit check and refund. After you pay, we check that your site is suitable for an audit. For example, it must be live and publicly reachable. If we decide it isn't a fit, we tell you and refund the full US$99 to your original payment method. You can also cancel for a full refund at any time before we start recording.
  4. Delivery. We aim to send your video within 3 working days of payment. This is a target, not a guarantee. If we can't deliver within 10 working days, you can ask for a full refund.
  5. After delivery. Once we've sent your video, the fee is non-refundable, except where the law says otherwise. The video and its recommendations are yours to keep and use however you like.
  6. Credit against future work. If you start any project or plan with us within 60 days of the date we deliver your video, we take the full US$99 off your first invoice. The credit applies once per business. It can't be exchanged for cash or transferred to another business, and it expires after 60 days.
  7. It's an opinion. The audit is our professional view, based on what a visitor can see on the day we record. It isn't a technical, security, legal or accessibility audit, and it doesn't include making any changes. We may use software tools, including AI tools, to help us look at your site, but every audit is recorded and narrated by a member of our team.

5. Quotes, fees and payment

  1. Fixed prices. Once we've agreed the scope, we give you a fixed price in your Proposal before any work starts. A Proposal is valid for 30 days unless it says otherwise.
  2. Deposit. Unless your Proposal says otherwise, project work starts once we've received a 50% deposit. The rest is invoiced at the milestones in your Proposal, with the final payment due before launch or handover.
  3. Paying invoices. Invoices are in US dollars and due within 14 days, unless they say otherwise. Prices don't include tax, which we add where required. Bank or card fees on your side are yours to pay.
  4. Late payment. If an invoice is more than 14 days overdue, we'll remind you in writing. If it's still unpaid 7 days after that reminder, we may pause work, support and hosting until your account is up to date. Deadlines move by the length of the pause.
  5. Third-party costs. Your Shopify subscription, apps, themes, fonts, stock images, domains, hosting providers and AI services are billed to you directly by their providers, unless your Proposal says we'll pay and recharge them. Their prices can change, and their fees aren't refundable through us. If we buy something on your behalf, we'll only do so with your approval.

6. Changes to scope

  1. Changes are quoted first. If you ask for something that isn't in your Proposal, or something new comes up, we'll quote it separately. You decide whether to go ahead. It won't appear on an invoice as a surprise.
  2. Revisions. Your Proposal sets how many rounds of design changes are included. Further rounds, or changes to work you've already approved, count as new work.

7. Working together

  1. What we need from you. Most projects depend on your input: content, product information, access, decisions and feedback. Please send these on time, usually within 5 working days of our request. If something we need arrives late, the timeline moves to match. Our dates are planned in good faith, but they're estimates, not guarantees.
  2. Paused projects. If we haven't heard from you for 30 days despite reminders, we may pause your project. To restart it, we'll agree new dates with you, which may depend on our availability. If a project stays paused for 90 days, we may close it and invoice for the work done so far.
  3. Approvals. When you approve a design, feature or launch, you confirm you're happy with it. If you don't respond within 10 working days of delivery or launch, the work is treated as approved.
  4. Your business is yours to run. You're responsible for your products, prices, offers, product claims and customer service. You're also responsible for your own legal obligations: your privacy and cookie policies, consumer law, tax, product labelling and the content you publish. We'll flag anything that looks risky when we notice it, but we're not your legal advisers.

8. Access, accounts and backups

  1. You own your accounts. Your Shopify store, domain, email, ad and analytics accounts stay in your name and under your control. We work through collaborator or staff access that you grant and can remove at any time. Please don't send us passwords by email or chat.
  2. Keeping things safe. We only use the access we need for the work, keep it secure and stop using it when the work ends. We recommend you review and remove our access when a project or plan finishes.
  3. Backups. Before we make major changes, we duplicate your live theme. Shopify holds your store data, and you're responsible for keeping your own backups of your content, products and customer data, including through backup apps where needed.

9. New Shopify store plan (monthly)

  1. Who it's for. The monthly plan (US$247/month) is for businesses opening their first Shopify store. It isn't available for stores that are already on Shopify. Moving products, customers or orders from another platform is quoted separately.
  2. What's included. The design and build of your Shopify store using our proven layouts, with up to 5 pages, up to 25 products set up and 2 rounds of revisions, plus up to 2 hours of updates and small changes each month. Your Shopify subscription, theme licence, paid apps and other third-party costs are not included. Anything beyond this, such as extra pages, more products, custom features or a redesign, is quoted separately.
  3. How updates work. Send your requests by email. We schedule them in our monthly queue and usually complete them within 7 working days. Unused hours don't roll over, and the plan doesn't include urgent or same-day changes.
  4. Setup fee. A one-time setup fee of US$500 is due before work begins. It's non-refundable once design work has started.
  5. Minimum term. The plan has a minimum term of 12 months from your store's launch date. After that, it continues month to month.
  6. Cancelling. After the minimum term, you can cancel at any time with 30 days' written notice, for example by email to contact@ovxsbusiness.solutions. Billing stops at the end of the notice period.
  7. Leaving early. You can leave before the 12 months are up by paying the monthly fees left for that term. Once they're paid, you're treated as having completed the minimum term.
  8. Handover. Once the minimum term is completed or paid, you keep your store at no extra cost when you leave. It stays in your own Shopify account, with its design, content, images and the code we built for it.
  9. Your domain. Your domain name stays registered to you throughout the plan.
  10. Missed payments. Section 5.4 applies. If a payment is more than 60 days overdue, we may end the plan. Fees still owed for the minimum term then become due.

10. One-time builds, support and care plans

  1. One-time projects. For one-time projects, including Shopify migrations (from US$1,500), Shopify stores (from US$3,000), growth builds (from US$6,500) and one-time business websites (US$3,000), the fixed price and what's included are set in your Proposal. Optional hosting for one-time websites is US$25/month.
  2. Small jobs. Custom sections, store tweaks and development days are priced as shown on our pricing page when you book. Development days must be scheduled with us before you pay, and include the hours stated (3.5 hours for a half day, 7 hours for a full day) on the agreed date. Unused time on the day doesn't carry over.
  3. Fixing our mistakes. For 30 days after launch, we fix any defects in the work we delivered at no charge. A defect is something that doesn't work as agreed in your Proposal. This doesn't cover changes made by you or others, new requests, or problems caused by apps, themes, browsers or platforms we don't control.
  4. Support and care plans. Monthly support and care plans include the hours, services and response times set out in your plan. Unused hours don't roll over unless your plan says they do. Work beyond the plan is quoted first.
  5. When we're available. We work Monday to Friday, excluding public holidays. We aim to reply to messages within one working day. Response and fix times are targets, not guarantees. We don't offer 24/7 or out-of-hours cover unless your plan includes it in writing. If something urgent happens outside our working hours, we'll pick it up first thing on the next working day.
  6. Cancelling a plan. Unless your plan has a minimum term, you can cancel with 30 days' written notice. Fees already paid for the current month aren't refunded.

11. Who owns what

  1. Your materials stay yours. Anything you give us, such as logos, copy, photos, product data and customer data, remains yours. You confirm you have the right to let us use it for your project, and you let us use it only for that purpose.
  2. The work we make for you. When you've paid in full for a project, you own the custom designs, theme code, copy and assets we created specifically for you, and we transfer our rights in them to you. Until then, you may use them only to review the work.
  3. Our tools stay ours. We keep ownership of everything we had before your project or develop for general use. That includes our code libraries, components, sections, templates, scripts, workflows and know-how. Where any of these are part of your deliverables, we give you a permanent, non-exclusive, royalty-free licence to use, change and keep using them as part of your website or store. You may not resell or redistribute them separately.
  4. Third-party items. Shopify themes, apps, fonts, stock images, open-source code and similar items stay under their owners' licences. We'll tell you about any licence that matters for your project. Some licences can't be transferred, and some need ongoing payment.
  5. Showing our work. We may show finished work in our portfolio, case studies and social media, including your name, logo, screenshots and results, unless you've asked us not to in writing or we've signed a confidentiality agreement. We never publish confidential information. For white-label and agency work, we don't show or mention the work without permission.

12. AI in our work and yours

  1. How we use AI. Like most modern studios, we use AI tools to work faster and better. For example, we use them to help write and review code, draft and edit copy, explore design ideas, create or edit images, and analyse data. A person on our team directs, checks and edits all AI-assisted work before it reaches you. We're responsible for what we deliver, however it was made.
  2. Your information and AI. We use AI tools only under business or API terms that don't allow the provider to train its models on what we send. We don't put your passwords, payment details or your customers' personal data into AI tools unless that's part of an AI feature you've asked us to build. We don't use your confidential material to train our own models without your written consent.
  3. If you'd rather we didn't. If you don't want us to use AI tools on part of your project, for example your brand identity, tell us before we start. We'll agree how to handle it, including any change to price or timeline.
  4. Ownership of AI-assisted work. Section 11 applies to AI-assisted work in the same way as any other deliverable. In some countries, content made mainly by AI may not be protected by copyright. We can't guarantee that AI-assisted content is protected, or that it's completely unlike existing work. For key brand assets, such as logos, we create or substantially rework the final design by hand.
  5. AI features we build for you. If we build or set up AI features, such as chat assistants, AI search, product recommendations or AI-written product content:
    • AI can make mistakes and produce inaccurate or unexpected answers. You're responsible for checking AI-generated content before you publish it, and for monitoring live AI features.
    • You decide how the feature is used and what it says. That includes telling your customers when they're talking to AI, where the law requires it, and making sure your use complies with the laws that apply to you.
    • AI features rely on third-party providers. Their terms, prices, models and availability can change, and their usage fees are billed to you unless your Proposal says otherwise.
    • We don't guarantee any particular result, such as sales, conversion or support savings, from an AI feature.
  6. AI on our website. If we offer an AI assistant on this website, its answers are general information and can be wrong. Only a written Proposal from our team can confirm prices, timelines and what's included.

13. Shopify and other platforms

  1. Their rules apply. Shopify, apps, payment providers, hosting and other platforms have their own terms, which apply between you and them. Platforms change their features, prices, policies and code without asking us.
  2. What we can't control. We aren't responsible for outages, data loss, account suspensions, price changes or other problems caused by a platform or app. That includes when an app or platform update breaks something that worked when we delivered it. If you're on a support or care plan, we'll help fix it as part of the plan. Otherwise, we'll quote for the fix.

14. Confidentiality and data

  1. Keeping secrets. We'll each keep the other's non-public business information confidential and use it only for our work together. This doesn't apply to information that is already public, that we already had, or that the law requires us to share. It continues after our work ends.
  2. Your customers' data. If we handle personal data on your behalf, for example in your Shopify store, we do so only to provide our services, on your instructions, and with reasonable security. You remain responsible for having a lawful basis to collect and use that data. If your business needs a data processing agreement, ask us and we'll sign a reasonable one.
  3. Your data and us. How we handle personal information that you send us is explained in our Privacy policy.

15. Results and promises

  1. No guaranteed results. We work hard to improve your store, but sales, conversion rates, search rankings, ad performance and growth depend on many things we don't control. These include your products, prices, market, competitors, budget and platform changes. We don't guarantee any particular result, and any numbers we share are estimates or past examples.
  2. No other promises. Apart from what's set out in these terms and your Proposal, our services and this website are provided without other warranties, as far as the law allows. Nothing in these terms takes away rights you have that the law doesn't allow to be removed.

16. Limits on liability

  1. Our total liability. As far as the law allows, our total liability to you for everything arising from a project, plan or audit is limited to the fees you paid us for it in the 12 months before the claim arose. For a video audit, it's limited to the audit fee.
  2. Losses we don't cover. We aren't liable for indirect or consequential losses, or for lost profits, revenue, sales, data, goodwill or business opportunities, even if they were foreseeable.
  3. What we don't limit. Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, or anything else that can't legally be limited.

17. Protecting each other

  1. Your materials and instructions. You'll cover our reasonable costs and losses from claims by others that arise from material you gave us, instructions you told us to follow, your products, your published claims, or your use of the work in breach of the law or these terms.
  2. Our original work. We'll cover your reasonable costs and losses from claims that original work we created for you infringes someone else's rights. This doesn't apply to material you supplied, third-party items, or changes made by others. If such a claim arises, we may change or replace the affected work so that it no longer infringes.
  3. How claims are handled. The party asking for cover must tell the other promptly and reasonably help with the claim.

18. Ending a project

  1. Either of us can stop. Either of us can end a project with 14 days' written notice. Plans with a minimum term follow their own rules.
  2. If you end it. You pay for work done up to the end date, plus any costs we can't cancel. Deposits cover the time we've set aside for your project and are non-refundable once work has started. If the work done is worth less than your deposit, we refund the difference.
  3. If we end it. We may end a project straight away if you don't pay, ask us to do something unlawful, abuse or harass our team, or seriously breach these terms. If we end a project for any other reason, we refund what you've paid for work we haven't done.
  4. Handover. When a project ends, we hand over all work you've paid for. Sections 11 to 17, 21 and 22 continue to apply after a project or these terms end.

19. Our team

During a project and for 12 months after it ends, please don't directly hire anyone from our team, or a subcontractor you met through us, without talking to us first. If you do, a placement fee of 20% of their first-year pay applies. This doesn't stop anyone from answering a public job advert.

20. Testimonials and reviews

If you give us a testimonial, review or quote, you agree we may publish it, with your name, role, company and photo if you shared them, on our website and marketing. You can ask us to remove it at any time, and we'll do so within a reasonable time. We never edit testimonials in a way that changes their meaning, and we don't pay for reviews.

21. Disputes and governing law

  1. Talk to us first. If something goes wrong, email us. We'll try to resolve it fairly and in good faith within 30 days before either of us takes formal action.
  2. Law and courts. These terms, and any dispute about them or our services, are governed by the laws of the State of Wyoming, United States. The state and federal courts in Wyoming have exclusive jurisdiction. Either of us may still seek urgent relief to protect confidential information or intellectual property in any court. If you're a consumer, you keep any rights to bring a claim in your home courts under the mandatory law of your country.

22. General

  1. Events outside our control. Neither of us is responsible for delays caused by events beyond reasonable control, such as platform outages, internet failures, illness, natural disasters or government action. The affected party will tell the other as soon as possible.
  2. Independent businesses. We're independent contractors. Nothing in these terms creates a partnership, employment or agency relationship.
  3. Transferring the agreement. You may transfer your agreement with us only with our written consent. We may transfer ours as part of a reorganisation or sale of our business, and we'll tell you if we do.
  4. Notices. Notices under these terms can be sent by email. Ours come from an @ovxsbusiness.solutions address, and yours go to contact@ovxsbusiness.solutions.
  5. Whole agreement. These terms and your Proposal are the whole agreement between us about the services, and replace anything discussed before.
  6. If part doesn't work. If a court finds any part of these terms unenforceable, the rest still applies.
  7. Not enforcing isn't waiving. If we don't enforce a right straight away, we can still enforce it later.
  8. Changes to these terms. We may update these terms from time to time. The date at the top shows the latest version. Changes apply to new orders and projects. A signed Proposal stays under the terms that applied when you accepted it, unless we both agree otherwise.
